In the following conditions the "Company" means D.F.A.O. Ltd and the "Customer" means the person buying the product from the "Company".

Headings:

The headings of the clauses in these conditions are intended for reference only and will not affect the construction of these conditions.

Representations

No statement, description, warranty condition or recommendation contained in any catalogue, price list or advertisement or communication or made verbally by any agents of employees of the Company shall be construed to enlarge, vary or override in any way thereof any of these conditions.

Any typographical or clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Company shall be subject to correction without any liability on the part of the Company.

Customer Obligations

The Customer is responsible for the accuracy of all the terms of the order including all specifications and measurements referred to and the Customer confirms that it has checked all such specifications and measurements.

The Customer shall supply the Company with any information required to enable the Company to do the work.

It remains the Customer's responsibility to insure the goods against all usually insurable risks from the time the goods are delivered to the Customer.

The Customer is liable for any loss or extra cost incurred by the Company through the Customers instructions or lack of instructions or through failure or delay including construction delays on building sites or in taking delivery or through any acts or default on the part of the Customer.

It is the Customers responsibility, regardless of delivery address, to ensure the goods are as ordered and are of satisfactory quality. The Customer must:

  • ensure that goods are of an acceptable quality
  • check the quantity of received goods is correct
  • ensure correct identification of face and reverse of fabric

In the event of any discrepancy whatsoever, the Customer must notify the Company within 7 days of arrival of consignment and before the goods are processed in any way. Otherwise no responsibility can be accepted for any claims.

It is the responsibility of the Customer to instruct the Company of any additional fire proofing or higher rub test on upholstery fabric that may be required to meet special regulations relating to particular usages of property. If the customer does not supply this information in writing with the order goods will be supplied to meet normal domestic regulations.

The Goods

The quantity and description of the goods shall be set out in the Company's quotation.

The Company may make any changes in the specification of goods which do not materially affect their quality or performance required to conform with any applicable statutory requirements where the goods are supplied to the Company's specification.

Goods are sold on the clear understanding that exact matching between batches or co-ordinating products cannot be guaranteed.

The Company's goods are intended for use in a domestic environment and are designed to assist in meeting the requirements of current legislation for contract furniture. If the Company's upholstered goods are intended to be used in a contract environment the Customer, when placing an order, must notify the Company accordingly to enable compliance with the requirements of the Furniture and Furnishings (Fire) (Safety) Regulations 1988 and/or other appropriate legislation.

Photographs and samples are for illustrative purpose only and may not exactly match the product itself.

The Company reserves the right to withhold any product at any time.

Seconds or ex showhouse furnishings are sold as seen and the Company cannot be held liable for the quality thereof.

Price and Payment

The Price shall be that as stipulated in the Company's published price list current at the date of order of the goods. In the event of any increase in the cost to the Company of materials, labour, overheads or any increase in taxes or duties, the Company may increase the price payable under the contract upon written notice. If notice of price increase is given by the Company, the Customer shall have the right to cancel the order and receive back any sums they have paid. Notice of cancellation must be received in writing by the Company within 7 days of delivery of the notice price increase to the Customer.

Quotations are submitted subject to prices pertaining at the date of quotation preparation. The Company will honour any quotation if accepted within 3 months of such preparation.

The price shall be the price contained in the quotation subject to any variation requested by the customer. Any alteration to the specifications of the work set out in the quotation by the Customer will be accepted by the Company on the basis that this work is an extra and will be charged for as such.

The Customer shall pay 50% deposit with the order with the 50% balance to be paid paid one week prior to delivery/installation. No goods will be delivered until full payment is received. Full payment is required week prior to delivery. No exceptions can be made to these payment terms. The Company cannot commence out sourcing/ordering procedure until we have received the deposit (50%) in cleared funds.

The price shall be price contained in the quotation but where at any time before completion there is an increase in the rate of VAT then the Company may adjust the price accordingly.

Unless the quotation brings in special terms the customer shall pay the invoice amount within 30 days of the date of the Company's invoice which will be presented after completion of the work.

All customers will be dealt with on a proforma basis until a trading relationship has been established.

Interest

The Company reserves the right to charge interest at 3% per annum above the base rate of HSBC Bank plc on all overdue accounts. Interest will be deemed to accrue on a day to day basis from and including the date for payment of the invoice.

Warranties and Liability

Any manufacturer's warranties in relation to electrical goods only will be passed to the client. The Company does not provide any warranty cover against defect in its own right.

If the Customer is dissatisfied with his purchase for any reason he may, within 7 days of delivery contact the Company to arrange for collection of the goods at the Company's expense. Any money which you have paid will be refunded within 30 days provided that the Company receives the goods in the same condition they were at the time of delivery to you. The Customers account will then be credited with the full purchase price of the goods.

Insofar as is permitted by law, the Companys only liability to the Customer under these terms and conditions will be, at our sole discretion, to make good any shortage or non-delivery, to replace or repair any goods which are received by the Customer in a damaged or defective state or to refund to the Customer any sums actually paid by the Customer for the goods in question. We will not be liable to the Customer for any indirect or consequential loss or damage arising out of any problem the Customer notify to us and will have no liability to the Customer for any failure or delay in delivering goods or any damage or defect in goods delivered which is caused by any event of circumstance which is beyond our reasonable control.

Usage

Although the Company may make recommendations on usage, it is the responsibility of the Customer to ascertain suitability of the goods for any particular purpose. The Customer must not rely on the Company's skill or judgement. The Company will not, in addition, accept any liability arising in respect of any loss or damage or deterioration in condition of any goods sold caused by usage, shrinkage, cleaning processes, atmospheric conditions or assembly, make-up and installation or general application. The Company's liabilities shall not exceed the value of the goods sold.

Delivery

If the Company does not have sufficient stock to be able to deliver the goods ordered by the Customer then any sum paid by the Customer will be refunded or re-credited to your account and the Company will notify you at the address given by you in your order. The refund will be made as soon as possible and the Company will not be obliged to offer any compensation for disappointment suffered.

Delivery of the products shall be made by the Company or his agent notifying the Customer that the products are available for delivery to such place as the Customer may specify at the time the order is placed.

The Company shall use his reasonable endeavours to meet any date agreed for delivery. The Company shall not be liable for any delay in delivery howsoever caused.

Generally where an order contains more than one item all items will be delivered at the same time once all items are available.

Quotations are subject to delivery/installation being carried out in normal working hours. Any work required to be undertaken 'out of hours' may attract a further charge which would be advised in advance.

It is the Customer's responsibility at the time of placing the order to make sure that they are aware of the Company's current delivery charges.

Smaller items may be sent with parcel companies who will attempt delivery on a weekday without notice. Failed deliveries will be carded so that the customer has another opportunity to accept delivery. If a third delivery becomes necessary the cost will be charged to the customer as required by the parcel handler.

For delivery to Northern Ireland, Isle of Man, Isle of Wight, Scottish Islands and Channel Islands or abroad our normal delivery charges will apply to a nominated GB address. Onward shipping from that point is the responsibility of the Customer.

Should the Company be delayed in or prevented from making a delivery/installation owing to any cause whatsoever beyond the Company's control, the Company shall be at liberty to cancel or suspend the order without incurring any liability for any loss or damage resulting therefrom.

All contracts, orders and quotations are made subject to our right to withdraw or cancel the same (without liability on our part) by reason of interruption or suspension or delivery, short supplies, increased prices of the suppliers arising from causes beyond our control.

Title and Risk

The Customer will take all necessary steps to protect materials on site and in any event to insure them for the full re-instatement cost in the event of theft, fire, flood and other insurable risks.

The Company cannot take responsibility for materials damaged at the site/installation address by other trades or forces.

All goods provided will remain the property of the Company until payment of all amounts due from the Customer have been paid in full. All such goods shall be at the risk of the Customer from delivery who shall insure them against all usually insurable risks.

If the Company are undertaking moving the Customer's own goods on site this is entirely at the Customer's own risk and The Company and its nominated sub contractors cannot be held responsible for any subsequent loss or damage to goods on site, in transit or in storage.

Ownership of rights

All rights, including copyright, in this website are owned by The Company. Any use of this website or its contents, including copying or storing it or them in whole or part, other than for your own personal, non-commercial use is prohibited without the permission of The Company. You may not modify, distribute or re-post anything on this website for any purpose.

Accuracy of Content

The Company has taken every care in the preparation of the content of this website, in particular to ensure that prices quoted are correct at time of publishing and all products have been fairly described. However, orders will only be accepted if there are no material errors in the description of the goods or their prices as advertised on this website. All prices are displayed inclusive of VAT. Packaging may vary from that shown. The weights, dimensions and capacities given are approximate only.

We have made every effort to display as accurately as possible the colours of our products that appear on the website. However, as the actual colours you see will depend on your monitor, we cannot guarantee that your monitors' display of any colour will accurately reflect the colour of the product on delivery. To the extent permitted by applicable law, The Company disclaims all warranties, express or implied as to the accuracy of the information contained in any of the materials on this website. The Company shall not be liable to any person for any loss or damage which may arise from the use of any of the information contained in any of the materials on this website.

Damage to your computer

The Company makes every effort to ensure that this website is free from viruses or defects. However, we cannot guarantee that your use of this website or any websites accessible through it will not cause damage to your computer. It is your responsibility to ensure that the right equipment is available to use the website and screen out anything that may damage it. The Company shall not be liable to any person for any loss or damage which may arise to computer equipment as a result of using this website.

Availability

All items are subject to delivery time excluding the ranges held in stock. It is the clients responsibility to check delivery dates/availability of goods when placing the order.

Acknowledgement and Acceptance of your order

If you have supplied us with your email address, we will notify you by email or telephone you to confirm we have accepted your order. At this point the contract for our sale and your purchase of the goods shall be made.

Restrictions on Purchase

Where the order concerns the sale of knives you confirm that you are over the age of 16.

Changes to Legal Notices

We reserve the right to change these terms and conditions from time to time and you should check them before ordering

Movement of curtains in situ

Atmospheric conditions such as temperature and humidity can vary. As these are beyond our control we cannot therefore accept responsibility for movement in curtains when hung. Heavier fabrics, especially those with thicker wefts of cellulosic yarns may react to changing humidity.

Removal/transportation/storage of customers own goods/furniture

In this instance the Company and its sub contractors cannot be held responsible for any damage or loss of or replacement of customers own goods/furniture within the customer's property.

General

Any notice required or permitted to be given by either party to the other under the conditions shall be in writing and in the case of notices to the Company addressed to the Company at its registered office or in the case of notices to the Customer at the Customers address as provided to the Company.

This contract shall be governed by the law of England, Wales and Scotland and any dispute, question or remedy howsoever arising determined exclusively by the Courts of England, Wales and Scotland.


USEFUL TIPS/RECOMMENDATIONS

Fabric treatment

All fabrics will age and wear during use. Certain fabrics may acquire new characteristics. These should be considered natural eg: all textured or piled fabrics may flatten. Pile may distort. This is inevitable. Any fabric may crease. Linen has a particular propensity. Flat weaves may pill or bobble. This list is by no means exhaustive and natural characteristics will occur.

Certain natural fabrics such as weaves or silks will contain slubs and irregularities randomly throughout. This is the intended look and not a defect. Silk fabrics have a slightly lower colour fastness and may fade in sunlight.

The majority of our fabrics can be treated to enhanced levels of flame retardant performance or stain resistance.

Fabric is treated at the Customer's own risk. The Company accepts no liability for changes in appearance, performance, damage or defect caused to any fabrics as a result of treatment. An additional 10 days should be allowed for delivery. A handling charge may apply. Please request prices.

Curtain material should be dry cleaned by a specialist dry cleaner unless otherwise stated.

Wallpaper

Wallpaper is not necessarily reeled with design uppermost. Check before hanging. Check the carefully the pattern numbers, shade and batch numbers match exactly.

Maintenance of furniture

Solid and veneered table tops

  • Wipe tops with a clean, slightly damp cloth.
  • Buff with a duster until completely dry.
  • A proprietary spray wax polish may be sparingly applied on an intermittent basis, if so desired.
  • Test a concealed area first.

Marble table tops

  • Wipe tops with a clean slightly damp cloth.
  • A proprietary wax polish may be sparingly applied to assist in overcoming this natural material's tendency to stain.
  • Test a concealed area first.

Laminate table tops

  • Wipe with a damp cloth soaked with soapy water.
  • For stubborn marks careful application of a non-abrasive cleaning cream can be used.
  • Test a concealed area first.

Timber surfaces

  • Generally, it will be necessary only to dust surfaces.
  • A proprietary spray wax polish may be sparingly applied on a regular or intermittent basis, if so desired.
  • Test a concealed area first.

Upholstered surfaces

  • Regular, careful vacuum cleaning is advised.
  • Stains can generally be removed by lightly spongeing with clear, lukewarm water.
  • Always attend to stains as rapidly as possible.
  • If in doubt, consult a professional cleaning contractor.
  • Test a concealed area first.

Leather surfaces

  • Do not use chemicals, detergents or furniture polish.
  • Leather can be cleaned with a tepid solution of soap flakes (ie. pure soap), followed by rinsing.
  • Remember that leather can have natural imperfections which does not affect durability.
  • Test a concealed area first.

Chrome and brass finishes

  • Little maintenance needed other than regular dusting.
  • In cases of extreme soiling on chair or table legs etc, an aerosol polish of meths should solve the problem.

Powder coated finishes

  • Powder coated surfaces need only regular dusting.
  • In cases of extreme soiling on chair or table legs etc, an aerosol polish should be used.
  • Test a concealed area first.

Iron furniture

  • Iron furniture intended for indoor use must not be left outdoors.
  • Regular dusting of the frame is all that is necessary to maintain its appearance.
  • Test a concealed area first.

PVC surfaces/faux leathers

  • Never use chemicals, detergents or furniture polishes on PVC as tests have shown that these can remove the plasticiser and cause cracking.
  • The surface can be cleaned with a tepid solution of soap flakes (ie. pure soap) followed by rinsing and drying with another cloth.

Natural cane surfaces

  • These need only regular dusting.
  • Never use any liquids or sprays as these may damage the cane and cause it to sag.
  • Natural sagging may occur in some cases due to prolonged use.

Rush seat

  • Brush or vacuum regularly.
WARNING: do not use any cleaning agent which contains an abrasive. Do not use any cleaning agent containing ammonia, bleach, spirit or any other aggressive constituent.
